Frequently asked questions

Do you have questions?

Which legal form is best for a technology company?

The choice of legal form depends on many factors, including the scale of the business, the number of partners, investment plans and the business model.

For smaller projects, a sole proprietorship (JDG) is often chosen because it is simple and inexpensive to run. A limited liability company (sp. z o.o.) is a good choice for larger ventures with several partners. The simple joint-stock company (PSA) was designed with start-ups in mind and is particularly useful when raising capital from investors.

During the consultation we analyse your situation carefully in order to recommend the most suitable solution.

How long does registration take?

The registration time depends on the legal form chosen and on the registration route, for example online through CEIDG or the S24 system for companies, or the traditional procedure at the KRS.

Bear in mind that the complete process, which also covers obtaining the NIP, VAT registration and notifications to ZUS, can take longer than the entry in the register itself. We agree the exact timeline with you during the first consultation.

Which documents are needed to register a company?

To register a company you need, among others: the articles of association, documents confirming the right to use the premises where the registered office will be, statements from the management board members, identity documents of the partners and members of the company bodies, confirmation that the share capital has been paid in, and the NIP and REGON applications.

For companies registered through the S24 online system, a qualified electronic signature or a trusted profile (profil zaufany, the Polish e-government login) is required.

We prepare a detailed list of documents tailored to your situation after the initial consultation.

Do you help newly founded companies obtain financing?

Yes, we support newly founded technology companies in raising finance. We help identify the available options, such as EU grants, start-up support programmes, business angels and venture capital funds.

We also prepare the necessary documents, including business plans and financial forecasts, and support you in the application process. Our experience in the IT sector allows us to match the financing strategy to the specifics of your project.

Can I set up a company in Poland without being physically present?

Yes, a company can be set up in Poland without being physically present, especially in the case of a sole proprietorship or a company registered through the S24 system. In such cases most formalities can be completed online. Some legal forms may require additional formal steps, which we discuss with you during the consultation.

We handle the entire registration process remotely, including representation before the authorities, preparation of all documents and online advice. We can also help you arrange a virtual office whose address can serve as the registered office of your company.

What does setting up a company focused on international markets involve?

Setting up a company focused on international markets involves the standard registration steps in Poland, supplemented by additional elements. We advise on a tax structure suited to international business, help with registration in VIES (the EU VAT number system) for intra-EU trade, and advise on protecting intellectual property, foreign expansion and international contracts.

We also take into account the specifics of international settlements, VAT in different countries and the tax optimisation options available for cross-border business.
